These Terms and Conditions ("Terms", "Terms and Conditions") govern your relationship with the Copybiz software-as-a-service tool (the "Service") provided by Ibina Technology Sdn Bhd ("us", "we", or "our").

Please read these Terms and Conditions carefully before using the Service.

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

Subscriptions

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a quarterly, half year or annual basis, depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or Copybiz cancels it. You may cancel your Subscription renewal through your online account by navigating to My Account > Billing or by contacting the Copybiz customer support team.

A valid payment method, including credit or debit card, is required to process the payment for your Subscription. You shall provide Copybiz with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information. By submitting such payment information, you automatically authorize Copybiz to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, Copybiz will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

Free Trial

As of the Effective Date of these Terms and Conditions, Copybiz offers a 7-day free trial for its Service. To access the free trial, users are required to register with their payment card details. After the 7-day free trial period, the registered card will automatically be charged based on the chosen subscription unless the user cancels the subscription before the end of the free trial.

Please be aware that by initiating the free trial, you authorize Copybiz to charge your card upon the conclusion of the 7-day period. It is your responsibility to cancel your subscription if you do not wish to be charged.

It is also your responsibility to check these Terms and Conditions periodically for any updates regarding the availability or terms of the free trial.

Please note that the availability of a free trial does not affect the other provisions and terms set forth in these Terms and Conditions. If you are interested in continuing with the Service after the free trial period, you can do so through the regular subscription process as described in the Subscriptions section above.

Package Changes

Ibina Technology Sdn Bhd reserves the right, at its sole discretion, to modify, change, add or remove the packages offered for Copybiz. This includes, but is not limited to, changing the name of packages, modifying the features or contents of a package, introducing new packages, or discontinuing existing packages, including those that may be in beta testing.

Features in beta testing are subject to evaluation and analysis for their effectiveness, suitability for the software, and traction amongst our users. As a result, they may be modified or removed at any time without prior notice.

In the event that a package is discontinued, Ibina Technology Sdn Bhd will make a reasonable effort to notify the affected subscribers and may, at its sole discretion, offer alternatives or transition plans.

Please note that it is your responsibility to regularly review these Terms and Conditions and to be aware of any changes to the packages. Your continued use of the Service following any package changes constitutes your acceptance of such changes.

Fee Changes

Copybiz, in its sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

Copybiz will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.

Credit Top-Up

Users have the option to top up credits within the Copybiz system if they have exhausted their current credits. These credits may be used for additional services or features within Copybiz, specifically for generating AI contents. Please note that the price of credit top-ups can change at any time at the sole discretion of Copybiz.

Credits purchased or acquired within the Copybiz system are to be used solely for generating content within the Copybiz software ecosystem and cannot be exchanged for money or any other forms of currency. Additionally, credits cannot be used for any other transactions or purposes outside of the Copybiz software ecosystem.

A valid payment method is required for credit top-ups. By submitting your payment information for credit top-ups, you authorize Copybiz to charge the top-up amount to your provided payment instruments.

Copybiz reserves the right to modify or discontinue the credit top-up feature at any time without prior notice. It is your responsibility to review these Terms and Conditions for any changes regarding credit top-ups.

Change or Upgrade of Subscription Plan for Lifetime Package Users

Users who have subscribed to a Lifetime Package should note that if they choose to upgrade their plan to a different subscription package, the lifetime benefits will no longer apply to their account. Instead, their subscription will be modified to reflect the new package, based on the duration and terms they choose while upgrading.

Please be aware that once the Lifetime Package is upgraded, it cannot be reinstated. The upgrade is final, and the account will then be governed by the terms and conditions of the new subscription package.

Additionally, users should note that at the present time, the system does not support downgrading subscription plans. As such, users who have upgraded from a Lifetime Package will not have the option to downgrade their subscription plan to any lower-tiered plans, including the original Lifetime Package.

Before proceeding with an upgrade, we strongly recommend that users carefully consider the implications and evaluate the benefits and limitations of the new subscription package compared to the Lifetime Package. It's important to be certain about the decision to upgrade, as it is irreversible.

Refunds

Certain refund requests for Subscriptions may be considered by Copybiz on a case-by-case basis and granted in the sole discretion of Copybiz.

AI Content Generation Disclaimer

Copybiz integrates with third-party artificial intelligence services, specifically OpenAI's GPT-3.5 and GPT-4, to generate content for our users. While we strive to provide the best experience and relevant outputs, we do not have control over, nor are we responsible for, the specific performance, accuracy, or any content produced by these third-party AI models.

Users should exercise discretion and, where appropriate, manually review and verify the accuracy and appropriateness of content generated. Copybiz is not to be held liable for any inaccuracies, misrepresentations, or any form of content that may be deemed inappropriate, offensive, or misleading that is produced by the integrated AI systems.

By using our Service and accessing the AI-generated content, you understand and agree that the responsibility for any outcomes, decisions, or actions taken based on this content rests solely with you.

Prohibited Use

In using our Service, you agree not to use, nor to allow or enable others, to use the Service for any purpose that is illegal, harmful, or in violation of any third party's rights. Specifically:

1. Abuse of Third-Party Platforms: You are prohibited from using our integration with third-party platforms, including but not limited to TikTok, in a manner that breaches the terms of service, community guidelines, or any other policies of such platforms. This includes, without limitation, spamming, harassment, data mining, or any form of deceptive practices. Any attempt to abuse, harm, or exploit vulnerabilities in third-party platforms via our Service will result in the immediate termination of your account, and may subject you to legal actions by the affected parties or by us.

Any reported or discovered violation of the above provisions may result in immediate termination or suspension of your access to the Service, at our sole discretion, without prior notice. Further legal action may be taken as deemed necessary.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service.

Limitation of Liability

In no event shall Ibina Technology Sdn Bhd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
